Gibson Refinances Chauvin Deal With $400M Notes

Gibson Energy has moved to shore up its balance sheet after acquiring the Chauvin infrastructure assets, pricing $400 million of senior unsecured notes at a 4.45 percent coupon maturing January 9, 2034. The Calgary-based liquids infrastructure company confirmed the notes closed on July 9, with proceeds earmarked to repay borrowings under its revolving credit facility, including amounts tied to the $400 million Chauvin transaction completed in May.

The refinancing lengthens Gibson's debt maturity profile, shifting funding away from shorter-term bank credit toward long-dated bonds. It follows a busy stretch for the company, which also amended and extended its revolving credit facility in June, pushing that maturity out to 2031.

Rating agencies have responded well. Morningstar DBRS and S&P both reaffirmed Gibson's investment grade ratings shortly after the notes were announced, pointing to the strength of its financial position even as it absorbs new acquisition debt. Management has described the Chauvin assets, which connect a crude oil gathering pipeline system to the Hardisty oil hub, as a contracted, cash-generating addition to the network.

The sequence reflects a wider pattern among Canadian midstream operators this year, who are pairing acquisitions with disciplined balance sheet management rather than leaning on floating rate debt alone. With more than 95 percent of infrastructure revenues secured by take-or-pay and fee-for-service contracts, Gibson appears positioned to absorb the added leverage while continuing to fund growth capital tied to Hardisty area expansion through the rest of 2026.
